Guheswori Merchant 15th AGM today; To endorse 12% bonus share

Guheswori Merchant Banking and Finance Limited (GMFIL) is holding its 15^th Annual General Meeting (AGM) today (Poush 22, 2073) at Guheswori Bhawan, Harihar Bhawan, Pulchowk Lalitpur at 11:00 AM. The agendas of the meeting are:

• To endorse 12% bonus share and 0.63% cash dividend (for tax purpose) from the net profit it earned in the FY 2072/73. The company had also issued 50% right shares and those shareholders are also eligible for 12% bonus share as the finance company had already allotted right shares before the book closure date.
• After issuance of bonus share, its paid up capital and issued capital will increase and to amend the article of association accordingly.
• To endorse merger/acquisition process with other BFIs.
• To amend article of association and memorandum of association as per directed by Nepal Rastra bank.

The register of the company was closed from Poush 7, 2073 to Poush 22, 2073 for the purpose of its upcoming AGM. Only those shareholders owning shares till Poush 6, 2073 were entitled to the dividend of the company. GMFIL had earned net profit of Rs 1.42 crore in the first quarter of the fiscal year 2073/74. Its paid up capital remains at Rs 29.37 crore. After issuance of 50 percent right share, the paid up capital reached Rs 44.06 crore and after distribution of 12% bonus share, its paid up capital will reach Rs 49.34 crore.
