United Modi & Sanjen Hydropower 7th AGM today; United Modi endorsing 5% cash dividend & Sanjen endorsing IPO

United Modi Hydropower Limited (UMHL) is convening its Annual General Meeting (AGM) today (Poush 7, 2074). The AGM is being held at UWTC Hall, Tripureswor, Kathmandu at 11:00 AM. The main agendas of the AGM are:
  • To endorse 5% cash dividends (including for tax) worth 5.75 crore to its shareholders from the profit of FY 2073/74.
  • To elect 1 BOD member from promoter shareholders group, 2 BOD members from public shareholders group and endorse appointment of 2 independent directors.
  • To amend the Memorandum of Association (MOA) and Articles of Association (AOA) as per directions received by regulatory bodies
Other agendas of the AGM include endorsement of financial statements of the FY 2073/74 and appointment of auditor for the FY 2074/75. The book closure date for the AGM was set on Mangsir 22 till Poush 7, 2074. Thus, shareholders holding shares till Mangsir 21, i.e. one day ahead of the book closure date are eligible to participate in AGM and for 5% cash dividends Its current paid up capital stands at Rs 1.15 arba.It had earned Rs 4.18 crore in the first quarter of the FY 2074/75. Its earnings per share (EPS) stands at Rs 3.64 and net worth per share is at Rs 109.07. Sanjen Hydropower Company Limited is convening its 7thAnnual General Meeting (AGM) today (Poush 7, 2074). The AGM is being held at the central office of Sanjen Hydropower Company, Maharajgunj, Kathmandu at 3:00 PM. The main agendas of the AGM are :
  • To amend article of association and memorandum of association with the change in shareholding structure.
  • To change the address of its registered office.
  • To issue IPO shares.
Other Agendas of the AGM include financial highlights of 2073/74, appointment of auditor for the FY 2074/75. Sanjen Hydropower is seeking approval to float 87.60 lakh units IPO shares worth Rs 87.60 crore to employees of promoter shareholding companies, employees having membership of Employee Provident Fund (EPF) and employees of lending institutions. Sanjen Jalavidhyut Company is a subsidiary of Chilime Hydropower Company Limited (CHCL) and was incorporated in February 2010 as a public limited company. Sanjen has planned to develop two new projects–Sanjen Hydroelectric Project having capacity of 42.5 MW and Sanjen (Upper) Hydroelectric Project (SUHEP) of capacity 14.8 MW in Rasuwa district. After the IPO, contributors of EPF will have 19.50% shareholding, employees of EPF will have 1% shareholding and employees of promoter companies will have 3.50% shareholding in the hydropower company. CHCL and Nepal Electricity Authority are major promoters of the company.
