SGM of Century Commercial Bank today; to endorse acquisition of Alpine Development Bank and Seti Finance

Century Commercial Bank Limited (CCBL) is convening its Special General Meeting (SGM) today (Bhadra 23, 2074). The SGM is being held at Amritbhog Caterers, Kalikasthan, Kathmandu. The main agendas of the SGM are as follows:
  1. To endorse acquisition of Alpine Development Bank Limited (ALDBL) and Seti Finance Limited (SETI).
  2. To endorse the share swap ratio of 100:93 and 100.70 for ALDBL and SETI respectively as prepared by the Due Diligence Audit (DDA) report.
  3. To endorse the fee for the appointed P/L Shrestha & Co. Chartered Accountants.
  4. To endorse letter of Memorandum of Understanding, Scheme of Arrangement and other agreements.
  5. To provide final authority required for the acquisition of ALDBL and SETI.
  6. To amend Memorandum of Association (MOA) and Articles of Association (AOA) as per the requirement.
The book closure for the SGM was set from Bhadra 15 to Bhadra 23, 2074. But only those shareholders holding shares till Bhadra 14, 2074 are eligible to participate in the SGM. CCBL has earned Rs 44.74 crore in the fourth quarter of the FY 2073/74.
