Premier Finance’s 17th, 18th and 19th AGM today; Being acquired by Citizen Banks International on main agenda

Premier Finance is convening its 17^th, 18^th and 19^thAnnual General Meeting (AGM) today. The AGM is being held at Conference Hall, Nepal Administrative Training Academy at 11:00 AM. The special agendas of the AGM are:

• To endorse special proposal regarding paid up and issued capital.
• To authorize BoD to complete ongoing acquisition process by Citizen Bank international ltd.
• To endorse the same swap ratio endorsed by SGM

The other agendas of the AGM are

• Authorize BOD to initiate merger or acquisition process with other financial institutions.
• To endorse audited reports of 2069/70, 2070/71 and 2071/72
• To appoint auditor for the year 2072/73
• To endorse proposal to continue with same BoD from promoter shareholders unitl acquisition process is complete.
• Authorize BOD to make changes as directed by regulatory bodies, if any

Other agendas of the AGM include endorsement of financial highlights of the fiscal year 2069/70, 2070/71 and 2071/72 and appointment of auditor. PFCLL had earned a net profit of Rs. 5.46 crore in the fourth quarter of the fiscal year 2071/72.
