Hamro Bikas Bank 8th AGM on Poush 29; to endorse 25% bonus & 200% right share; Book Closure for bonus on Poush 8

Hamro Bikas Bank Limited (HAMRO) will be convening its 8th Annual General Meeting (AGM) on Poush 29, 2073. The AGM will be held at Bidur-3, Battar, Nuwakot, Satanchuli Hotel at 1:00 PM. Main agendas of the AGM are:
  • To increased its authorized capital up to Rs 50 crore.
  • To endorse 25% bonus shares from the net profit it earned from the fiscal year 2072/73.
  • After issuance of bonus share to endorse 1:2 (200%) right share to its shareholders.
  • After issuance of bonus and right share its issued and paid up capital will increase and amend article of association accordingly.
  • To initiate merger/acquisition process with other BFIs by endorsing Memorandum of Understanding (MOU) and appoint auditor for Due Diligence Audit (DDA).
Other agendas of the AGM include financial highlights of the FY 2072/73, appointment of auditor and election of 1 BOD members from public shareholders group. Only those shares registered one day ahead of the book closure date, i.e. Poush 7, 2073 will be eligible for the bonus shares. The register of their shareholders will be closed from Poush 8, 2073 till Poush 29, 2073 for the purpose of its AGM. A separate book closure date will be published for the right share. HAMRO has earned net profit of Rs 1.10 crore in the first quarter of the current fiscal year 2073/ 74. It’s paid up capital remains at Rs 12.23 crore. After distribution of 25% bonus share its paid up capital will rise to Rs 15.28 crore. Again, after issuance of 200 percent right share, the paid up capital will reach to Rs 45.86 crore.
