Arun & Srijana Finance AGM on Mangsir 30 & Poush 2 respectively; Arun to endorse 100% right share; Srijana to approve 50% bonus share

Arun Finance limited (ARUN) will be convening its 20th Annual General Meeting (AGM) on Mangsir 30, 2073. The AGM is going to be held at Arun finance head office, Dharan, Sunsari at 11:00 AM. Main agendas of the AGM are:
  • To endorse 100 percent (1:1) right share to its shareholders.
  • Authorize BOD to endorse merger/ acquisition process with other BFIs.
  • To amend article of association and memorandum of association as per directed by registrar officer or Nepal Rastra Bank.
Other agendas of the AGM include financial highlights of the FY 2072/73 and appointment of auditor. The register of their shareholders will be closed from Mangsir 22, 2073 till Mangsir 30, 2073 for the purpose of its AGM. A separate book closure notice will be published for the right share. Arun Finance Limited has net loss of Rs 10.41 lakh in the first quarter of the fiscal year 2073/74. It’s paid up capital remains at Rs 15 crore, after issuance of 100% right share its paid up capital will reach Rs 30 crore. Likewise, Srijana Finance limited (SFFIL) will be convening its 16th Annual General Meeting (AGM) on Poush 2, 2073. The AGM is going to be held at Udhyog Sangathan, Conference Hall, Biratnagar at 11:00 AM. Main agendas of the AGM are:
  • To increase authorized capital up to Rs 80 crore.
  • To endorse 50 percent bonus share and Rs 53, 05,263 cash dividend for tax purpose from the net profit it earned from the fiscal year 2072/73.
  • After issuance of bonus share its paid up capital will increase and amend Article of Association accordingly..
  • To authorize BOD to endorse Memorandum of Understanding (MOU) for the merger/acquisition process with other BFIs and appoint auditor for Due Diligence Audit (DDA).
  • To amend article of association and memorandum of association as per directed by registrar officer or Nepal Rastra Bank.
Other agendas of the AGM include financial highlights of the FY 2072/73 and appointment of auditor. Only those shares registered one day ahead of the book closure date, i.e. Mangsir 16, 2073 are eligible for the bonus shares. The register of their shareholders will be closed from Mangsir 17, 2073 till Poush 2, 2073 for the purpose of its AGM. Srijana Finance had earned net profit Rs 1.47 crore in first quarter of the fiscal year 2073/74. Its paid up capital remains at Rs 21.16 crore and after issuance of 50% bonus share, its paid up capital will reach Rs 31.74 crore.
