9th AGM of Unique Finance on Ashwin 16; to approve 16% stock dividend & endorse acquisition with Civil Bank

Unique Finance  Limited (UFL) is convening its 9^th Annual General Meeting (AGM) on Ashwin 16, 2073.  The AGM is going to be held at DECC Pawan Hall, Fourth Floor, United World Trade Center, Tripureswor, Kathmandu at 11 AM. The AGM has following agendas:

• To endorse 16 percent bonus share and Rs 20, 09,347.37 cash dividend for tax purpose from the net profit it earned from the fiscal year 2072/73. After bonus share is issued, it’s paid up and issued capital will increase and to amend the article of association accordingly.
• To authorize BOD to endorse Memorandum of Understanding (MOU) for the acquisition process between Unique Finance Limited and Civil Bank Limited and with other Bank and Financial Institutions (BFIs) in case of acquisition halt with Civil Bank Limited.

Other main agendas of the AGM include financial highlights of 2072/73, appointment of auditor and election of 3 BoD members from promoter shareholders group and 1 from public shareholders group. Trading of Unique Finance has been suspended in Nepal Stock Exchange Limited (NEPSE) from Shrawan 18, 2073 following the acquisition process. Only those shareholders owning shares till Shrawan 18 are entitled to the bonus share of the company.
