4th AGM of Mahila Sahayatra Microfinance on Poush 16; to approve10% bonus share & merger/ acquisition with BFIs

Mahila Sahayatra Microfinance Bittiya Sanstha Limited (MSMBS) will be convening its 4^thAnnual General Meeting (AGM) on Poush 16, 2073. The AGM will be held at its central office, Chitlang, Makawanpur at 1:00 PM. The main agendas of the AGM are:

• To endorse 10% bonus shares and 0.526 cash dividend including for tax purpose from the net profit it earned from the fiscal year 2071/72.
• To increase issued and paid up capital and amend article of association accordingly.
• To authorize BOD for necessary procedures of merger/acquisition of the company with another microfinance company or other Bank ad Financial Institutions (BFIs), to complete Memorandum of Understanding (MOU), to fix share swap ratio and to complete Due Diligence Audit (DDA).
• To appoint Sarita Shrestha as BOD from promoter shareholders group and elect one BOD member from public shareholders group.

Other agendas of the AGM include financial highlights of FY 2072/73 and appointment of auditor. Only those shareholders owning shares till Mangsir 28 will be entitled to the dividend of the company. The register of their shareholders will remain close from Mangsir 29, 2073 till Poush 16, 2073 for the purpose of its upcoming AGM. Mahila Sahayatra microfinance has earned net profit of Rs 17.53 lakh in the first quarter of the FY 2073/74. Its paid up capital remains at Rs 11 crore. After 10% bonus share distribution, its paid up capital will rise to Rs 12.1 crore.
