19th AGM of NIC Asia on Ashwin 18; to endorse 26% bonus & 15% right share; Book closure on Ashwin 4

NIC Asia Bank Limited (NICA) will be convening its 19^th Annual General Meeting (AGM) on Ashwin 18, 2073.  The AGM will be held at Amritbhog, Kalikasthan, Kathmandu at 10:00 AM. The main agendas of the AGM are:

• To endorse 26% bonus share and Rs 6, 32, 04,219 cash dividend for tax purpose to its shareholders.
• To issue 1:0.15 (15%) Right Share after bonus share distribution and authorize BoD for necessary amendment.
• To amend article of association and memorandum of association as per directed by registrar officer or Nepal Rastra Bank.
• To authorize BOD to initiate merger/acquisition process with other BFI by endorsing Due Diligence Audit (DDA) and Memorandum of Understanding (MOU).

  Other agendas of the AGM include financial highlights of 2072/73, appointment of auditor and election of 2 BoD members from promoter shareholders group. The register of their shareholders will be closed from Ashwin 5, 2073 till Ashwin 18, 2073 for the purpose of its AGM. Only the shares registered one day ahead of the book closure date, i.e. Ashwin 4 will be eligible for the bonus shares. NIC Asia earned net profit of Rs 1.07 arba in the fourth quarter of the fiscal year 2072/73 as per unaudited report. It’s paid up capital stands at Rs 4.57 arba and after the issuance of 26% bonus and 15% right share its paid up capital will rise to Rs 6.62 arba.
