Two merging merchant banks to convene AGM on Falgun 11, 2076; agenda to endorse dividend and approve share swap ratio

Two merchant banks have published notice regarding upcoming AGM, they are Prabhu Capital Limited and Samriddhi Capital Limited.

The 137^th BOD meeting of Prabhu Capital Limited has decided that the 11^th AGM of the merchant bank will be held on Falgun 11, 2076 (February 23, 2020) at the head office of the company in Kamladi from 3 PM onwards.

The agenda of the AGM is to endorse audited financial highlights for FY 75/76 and appoint statutory auditor for FY 76/77. The agenda includes endorsement of 2.183% bonus shares worth Rs.45.84 Lakhs and cash dividend worth Rs.2.41 Lakhs for tax purposes.

Similarly, 69^th BOD meeting of Samriddhi Capital Limited has decided that the 6^th AGM of the merchant bank will be held on Falgun 11, 2076 (February 23, 2020) at Hotel Radisson, Lazimpat from 11:30 AM onwards.

The agenda of the AGM is to endorse audited financial highlights for FY 75/76 and appoint statutory auditor for FY 76/77. The agenda includes endorsement of 6.50% bonus shares and 0.27% cash dividend for tax purposes.

Both the merchant banks will also approve the share swap ratio based on the due diligence audit for the purpose of merger with each other.
