Suryodaya Womi Laghubitta Announces Change in Shareholding Structure

Suryodaya Womi Laghubitta Bittiya Sanstha Limited (SWMF) has informed its promoter shareholders about a change in the shareholding structure of the company. Currently, the promoter shareholder group holds 70% of the total issued capital, while the public shareholders hold 30%.
According to Section 11(4) of the Bank and Financial Institutions Act, 2073, relevant laws, and directives issued by Nepal Rastra Bank (NRB), the Board of Directors, in its 238th meeting held on 2082/07/25, decided to convert 2.71% of the promoter shares of the former Suryodaya Laghubitta Bittiya Sanstha Limited into public shares. After this conversion, the promoter shareholding will stand at 67.29%, and the public shareholding at 32.71%. NRB approved this change on 2082/08/22.
This notice is published to inform all promoter shareholders of the former Suryodaya Laghubitta about the opportunity to opt out of converting their shares into public shares. Any promoter shareholder who does not wish to convert their shares into the public group must submit a written application within 35 days from the date of this notice to the corporate office of Suryodaya Womi Laghubitta, Mahalaxmi Municipality, Ward No. 4, Imadol.
If a promoter shareholder does not apply within the specified period, it will be assumed that they have agreed to convert their shares into the public group, and the process will proceed accordingly.
