Shikhar Insurance (SICL) Calls AGM; Agenda to Endorse Dividend, Right Shares, Change in Shareholding Ratio, and More

Shikhar Insurance Company Limited (SICL) has called its 15th and 16th AGM on Chaitra 09, i.e. March 22. The AGM will be organized in Sikhar Insurance Company Limited, Thapathali, Kathmandu, starting at 11 am that day.

The AGM will endorse the dividend for the fiscal year 2076/77. The 238th meeting of the board of directors held on Poush 20 has proposed a 38% dividend from the paid-up capital maintained as of Ashad's end, 2077. The paid-up capital as of Ashad's end, 2077 was Rs. 1,05,73,10,600. Since 36.1% bonus shares and 1.9% cash dividend are proposed, the bonus shares are worth Rs. 38,16,89,127 and the cash dividend is worth Rs. 2,00,88,901. There is also an agenda relating to 30% right shares issuance after capital adjustment post-bonus shares distribution.

Furthermore, the AGM will elect two board members representing the public investors. The AGM will endorse the decision to increase the authorized capital to Rs. 4 Arba. The decision to change the promoter: public shareholding ratio to 51: 49 from the existing 60: 40 will also be endorsed.

The book closure date is declared on Falgun 26. Thus, investors maintained before that day are entitled to the dividend and can also attend the AGM. Books will be closed from Falgun 26 till the AGM date.
