SEBON Invites Public Feedback on New Draft Rules for Corporate Bonds and Debentures

The Securities Board of Nepal (SEBON) has published the draft of the Debenture Registration and Issue Regulations, 2083 B.S. and invited feedback, suggestions, and comments from stakeholders and the general public.
This initiative is part of Nepal's capital market development roadmap for the year 2083 B.S., which aims to transform the country's financial market from one focused mainly on company shares into a broader, multi product market. Additionally, as part of its annual policy for the fiscal year 2083/84 B.S., SEBON is focusing on developing an active corporate debt market to increase market activity, improve overall cash flow, and manage financial risks more effectively.
To make the domestic bond market more diverse, competitive, transparent, and aligned with international best practices, SEBON prepared these updated rules. Under the proposed framework, eligible corporate companies not just banks and financial institutions will be able to raise long term funds by issuing bonds and debentures.
The draft was reviewed and refined by SEBON’s Legal Enforcement Committee before being released for public consultation. Stakeholders and the public are requested to send their comments and recommendations within 7 days of the notice publication to support@sebon.gov.np. SEBON will review all feedback before giving final approval to the new regulations.
