Prime Commercial Bank to Convene 15th AGM on Poush 28; Book Closure of 8.95% Dividend on Poush 14, 2079

According to the decision of the 457th meeting of the board of directors of Prime Commercial Bank Limited (PCBL) held on Wednesday, the 15th annual general meeting (AGM) will be held to discuss and decide on the following matters on the following written date, place and time.

Date of meeting: Poush 28, 2079

Location: Karki Banquet, Kathmandu

Meeting start time: From 11:00 am.

• To discuss and approve the report of the board of directors for the financial year 2078/79.
• Appoint an auditor as recommended by the Audit Committee to conduct an audit for the financial year 2079/80 and approve his remuneration.
• Information regarding the appointment of independent director in the bank.
• To approve the proposed dividend of 8.95% Dividend FY 2078/79. 4.95% bonus shares worth Rs 92.35 Crore and 4% cash dividend (including bonus shares tax purposes) worth Rs 74.62 Crore have been proposed.

The book closure date has been set on Poush 14, 2079. Investors holding shares of the company till Poush 13, 2079 will be eligible to participate in the AGM and claim the dividend.
