Jyoti Bikas Bank announces AGM with 8.50% cash dividend on Ashoj 29; Book closure from Ashoj 15

Jyoti Bikas Bank Limited (JBBL) has announced its 11th AGM to be convened on Ashoj 29, 2075. The meeting will be convened in the premises of Naxal Banquet, Narayanchaur at 11:00 AM.

The main agendas of the meeting include:

  1. To provide approval to the acquisition of Hamro Bikas Bank Limited
  2. To approve 1:1 swap ratio achieved through Due Diligence Audit
  3. To make necessary amendments in the MoA and AoA regarding the acquisition.
  4. To distribute 8.40% cash dividend worth Rs 21.80 crore to its shareholders for the FY 2074/75
  5. To convert 9.45% of the promoter shares into ordinary shares and to maintain promoter shareholding at 51% from previous holding of 60.45%
  6. To provide authority to the BoD to make any changes in the MoA and AoA in the future due to statutory compliance.

Other agendas of the meeting include endorsement of audited financial report for the FY 2074/75 and appointment of statutory auditor for the FY 2075/76.

For the purpose of the meeting, the shareholders register book will remain closed from Ashoj 15 till Ashoj 30, i.e. the shareholders holding the shares of the company till Ashoj 14 will be eligible to participate in the AGM.
