Civil Bank To Conduct 12th AGM On 28th Poush; When is the Book Closure Date?

According to the decision of Board of Directors, the twelfth annual general meeting of Civil Bank Limited (CBL) will be held to discuss and decide on the following proposals at the following written date, place and time, as per section 60 of the Companies Act, 2063.

Date of meeting: 28th Poush 2079 (Accordingly 12th January, 2023)

Location: Amritbhog, Kalikasthan Kathmandu

Meeting start time:  11:00 AM.

Agendas:

• To discuss and approve the report of the board of directors for the financial year 2078/79.
• To discuss and approve the financial statements including the balance sheet, profit and loss account and cash flow statement including the auditor's report for the financial year 2078/79.
• Appointing an auditor for the financial year 2079/80.
• To decide on the proposed dividend of 0.26% cash dividend and 5% bonus shares from the paid-up capital of Rs. 9.07 Arba.
• Others

The book closure date is on Poush 19. Thus, shareholders maintained before that day are entitled to the dividend payout and can also attend this AGM.

Also, a Memorandum of Understanding (MoU) has been signed between Himalayan Bank Limited (HBL) and Civil Bank where Himalayan Bank has agreed to acquire Civil Bank at a swap ratio of 100: 80.28.

For instance, if a shareholder in Civil Bank owned 100 shares, his share in the combined company would be reduced to 81 shares.
