Machhapuchchhre Bank Unveils Book Closure Date for its 8% Dividend; Calls AGM on Ashwin 10

Machhapuchchhre Bank Limited (MBL) has called its 27th AGM on 10th Ashwin, 2082. The meeting will be held in Hotel Pokhara Grand, Pokhara, starting at 11 AM that day.
Among the other agendas, the AGM will endorse an 8% dividend for the fiscal year 2081/82. The meeting of the board of directors held on Bhadra 12 has proposed a 4% bonus share and 4% cash dividend (including tax) for the fiscal year 2081/82. The company's existing paid-up capital is Rs. 11.62 Arba.
Furthermore, there is an agenda to approve and endorse the auditor’s report along with the profit and loss statements, financial statements, and cash flow statements for FY 2081/82, and to appoint an auditor for the fiscal year 2082/83. The agenda also includes approving the appointment of a director to fill the vacant position representing the public shareholding group on the board.
Also, there is an agenda to issue 8.25% Machhapuchchhre Perpetual Non-Cumulative Preference Shares worth Rs. 3 Arba at a face value of Rs. 100 per share, in accordance with applicable laws and regulations. The bank also plans to increase its authorized capital from Rs. 15 Arba to Rs. 20 Arba and amend relevant clauses of the Memorandum of Association to reflect the issuance of bonus shares and preference shares as per special resolutions. Additionally, the agenda includes revising directors’ meeting allowances and benefits, amending related provisions in the bank’s bylaws, and authorizing the board to make further amendments as directed by regulatory bodies.
The book closure date is on Bhadra 27. Therefore, the shareholders maintained before that day are entitled to dividend payout and can attend this AGM.
