The Securities Board of Nepal (SEBON) has unveiled the proposed Institutional Investor Policy, 2083, seeking feedback and suggestions from stakeholders to expand the active and responsible participation of institutional investors in Nepal’s capital market.

The policy has been introduced in line with the Capital Market Development Roadmap, 2083, SEBON’s capital market policy for fiscal year 2083/84, and the 21-point Capital Market Strengthening and Revival Action Plan, 2083 announced by the Ministry of Finance on Bhadra 29, 2083.

The proposed policy aims to establish clear, consistent and responsible policy, institutional and procedural arrangements for the entry and operation of institutional investors in both the primary and secondary securities markets.

It provides a framework covering the classification and registration of institutional investors, investment diversification and financial instruments, investment limits, corporate governance, risk management, market conduct, disclosure requirements, regulatory supervision and phased implementation.

The policy also proposes necessary legal and regulatory reforms to facilitate greater participation by institutional investors, along with stronger coordination among relevant government and regulatory agencies.

SEBON expects the policy to encourage the long-term entry and expansion of professional and capable institutional investors in Nepal’s capital market, which is currently dominated by individual investors.

According to the board, greater institutional participation is expected to contribute to increased market depth, liquidity, transparency and stability, while supporting the development of Nepal’s capital market as a more balanced and sustainable component of the financial system.

SEBON has invited stakeholders and concerned parties to provide constructive feedback and suggestions on the proposed policy.
