The Securities Board of Nepal (SEBON) has initiated discussions with investors and market stakeholders regarding a rule that requires basic shareholders to give prior notice before selling more than 5% of their shares.

Under this provision, basic shareholders of listed companies who intend to sell 5 percent or more of their total shareholding must inform the concerned company at least 15 days in advance. The company is then required to make this information public through the Nepal Stock Exchange (NEPSE).

The regulator organized the interaction program to discuss the purpose, implementation details, and overall investor concerns regarding this requirement. Representatives from key investor associations including Ghanashyam Pandey, Deepak Ratna Shakya, and Tulsi Ram Dhakal from the Nepal Shareholder Association, investor Tilak Koirala, and Hari Bahadur KC from the Nepal Stock Market Investors Association participated in the discussion.
